INDOFOOD SHAREHOLDERS APPROVED ALL RESOLUTIONS PROPOSED IN THE AGM
JAKARTA, 15 MAY 2009 – PT Indofood Sukses Makmur Tbk (“Indofood”) today held the Annual General Meeting of Shareholders (“AGM”) and obtained the approval for all the proposed resolutions.
The shareholders approved among others :
- The Board of Directors’ Report on the activities and financial results of the Company for the year ended December 31, 2008.
- Dividend payout of Rp47 per share to be paid on 22 July 2009.
- The amendment of the Company’s Articles of Association, whereby the terms of office for the Board of Commissioners and Board of Directors is amended from five years to three years.
- The appointment of the new Board of Commisioners and Directors in conjuction with the expiration of the terms of office for the previous Board of Commisioners and Directors, effective at the end of the AGM in 2009 until the closing of the AGM in 2012. The new composition of Board of Commissioners and Directors are as follows :
